Who We Are

Open Book is a branding and communications firm headquartered in the United States. We help organizations find and articulate their voice through strategy, design, and storytelling. 

These Terms govern your use of our website (teamopenbook.com) and any services we provide to you. References to "Open Book," "we," "us," or "our" throughout this document refer to the company and its team. References to "you" or "client" refer to the individual or organization accessing our site or engaging our services.

Use of Our Website

Our website is provided for informational purposes. You may browse and use the site for its intended purpose, subject to the following conditions: 

  • You will not use the site in any manner that could damage, disable, or impair its functionality.
  • You will not attempt to gain unauthorized access to any portion of the site or its underlying systems.
  • You will not scrape, harvest, or collect content from the site without our written permission.

Services and Engagements

Client engagements are governed by a separate written agreement or proposal signed by both parties. These Terms apply in addition to and do not replace any such agreement. Where there is a conflict, the signed agreement controls. 

Open Book delivers services including but not limited to brand strategy, messaging development, communications consulting, and content creation. The scope, timeline, and deliverables for any engagement are defined in the applicable proposal or statement of work. 

We make every reasonable effort to deliver work that meets the agreed scope. Client satisfaction is central to how we operate, and we will work collaboratively with you to address concerns that arise during an engagement. 

Open Book reserves the right to decline or discontinue an engagement if a client acts in bad faith, engages in abusive conduct toward our team, or requests work that conflicts with our values or professional obligations.

Payment and Fees

Fees for services are set forth in the applicable proposal or invoice. Unless otherwise specified in a signed agreement:

  • Invoices are due within 30 days of the invoice date.
  • A deposit may be required to initiate work, as specified in the proposal.
  • Late payments may be subject to a late fee of 1.5% per month on the outstanding balance.
  • Open Book reserves the right to pause or suspend work on an engagement if payment is not received within agreed terms. 

All fees are quoted in U.S. dollars unless otherwise noted. Clients are responsible for any applicable taxes, duties, or wire transfer fees not included in the quoted amount.

Privacy and Data

When you contact us through our website or engage us for services, we collect and use information necessary to communicate with you and deliver our work. We do not sell your personal information to third parties. 

Any personal data you share with us is handled with care and used solely for the purposes of our working relationship. For full details on how we collect, store, and protect your information, please refer to our Privacy Policy. 

Our website may use cookies and similar technologies to understand how visitors interact with the site. You may adjust your browser settings to decline cookies, though some site functionality may be affected.

Intellectual Property

All content on the Open Book website, including text, graphics, logos, and imagery, is the property of Open Book or its content partners and is protected by applicable copyright and intellectual property law. 

Regarding deliverables produced during a client engagement: 

  • Upon receipt of full payment, clients receive a license to use final deliverables as specified in the project agreement.
  • Open Book retains the right to display completed work in its portfolio unless explicitly agreed otherwise in writing.
  • Preliminary concepts, drafts, and creative directions not selected for final delivery remain the property of Open Book. 

Any client-provided materials (logos, content, assets) remain the property of the client. By sharing them with us, you grant Open Book a limited license to use them solely for the purpose of delivering your project.

Limitation of Liability

To the fullest extent permitted by law, Open Book's total liability to you for any claim arising from these Terms or our services will not exceed the total fees paid by you to Open Book in the three months preceding the claim. 

Open Book is not liable for any indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or reputational harm, even if we have been advised of the possibility of such damages. 

Our work is advisory and creative in nature. While we bring significant expertise to every engagement, outcomes in branding and communications depend on many factors outside our control. We cannot guarantee specific business results.

Confidentiality

We understand that clients often share sensitive business information as part of an engagement. Open Book treats all non-public information shared by clients as confidential and will not disclose it to third parties except as necessary to deliver the agreed services, comply with legal obligations, or with your explicit consent. 

Clients are similarly expected to treat any proprietary tools, processes, or methodologies shared by Open Book as confidential and not to reproduce or disclose them without our written permission.

Governing Law and Disputes

These Terms are governed by the laws of the United States and the state in which Open Book is registered, without regard to conflict of law provisions. 

We prefer to resolve disputes collaboratively. If a concern arises, please contact us directly and we will work in good faith to reach a resolution. If a formal dispute cannot be resolved informally, both parties agree to pursue mediation before initiating any legal proceeding. 

Open Book reserves the right to update these Terms at any time. Material changes will be communicated via our website. Continued use of our site or services following an update constitutes acceptance of the revised Terms.
